Ephyron Communications Inc. provides satellite data links and related communication services engineered specifically for Canadian operations ("Services"). Our Services include, but are not limited to, satellite connectivity solutions, data transmission services, network infrastructure support, and technical consultation.
All Services are provided on an "as-is" basis. We reserve the right to modify, suspend, or discontinue any Service with reasonable notice to Users.
You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal authority to enter into this agreement. If you are acting on behalf of an organization or business, you further represent that you have authority to bind that entity to these Terms.
Users are responsible for maintaining the confidentiality of login credentials, account information, and any access keys. You agree to be liable for all activities conducted under your account. You must notify us immediately at info@ephyron.shop of any unauthorized use or security breach.

We do not warrant that our Services will be uninterrupted, error-free, or secure. While we strive to maintain service reliability, satellite communications and network infrastructure may experience outages, latency, or connectivity issues beyond our control.
Ephyron Communications Inc. commits to maintaining reasonable service availability. However, we do not guarantee 100% uptime and shall not be liable for any service interruptions caused by factors beyond our reasonable control, including but not limited to: satellite malfunctions, weather events, natural disasters, government actions, or third-party service failures.
Scheduled maintenance may be performed during off-peak hours with reasonable notice. Emergency maintenance may be performed without notice if necessary to protect system security or integrity.
If you subscribe to paid Services, you agree to pay the fees specified in your service agreement or pricing page. All fees are exclusive of applicable taxes, which shall be added to your invoice.
Payment is due in accordance with the billing cycle specified in your agreement. We accept various payment methods and may use third-party payment processors. You authorize us to charge your chosen payment method for all applicable fees.
If payment fails, we may suspend your Services until payment is received. Refunds are subject to our Refund Policy, available upon request.
We reserve the right to modify, suspend, or terminate our Services or any portion thereof at any time. Where reasonably practicable, we will provide advance notice of material changes.
You may terminate your account or subscription by providing written notice to info@ephyron.shop. Upon termination, your right to access our Services ceases immediately. Any remaining balance or credits may not be refundable unless otherwise specified in your service agreement.
Our website and Services may contain links to third-party websites, applications, or services. We do not control, endorse, or assume responsibility for the content, accuracy, or practices of such third-party services. Your use of third-party services is subject to their respective terms and policies.
You agree to indemnify, defend, and hold harmless Ephyron Communications Inc., its officers, directors, employees, agents, and successors from any claims, damages, losses, costs, or expenses (including legal fees) arising out of or relating to: your use of our Services, your violation of these Terms, your violation of applicable laws, or your infringement of third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario. Any legal action or proceeding shall be brought exclusively in such courts, and you consent to the personal jurisdiction thereof.
Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be submitted to mediation or arbitration as mutually agreed by the parties.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
These Terms, together with any privacy policy, service agreements, and other policies referenced herein, constitute the entire agreement between you and Ephyron Communications Inc. regarding the subject matter hereof and supersede all prior and contemporaneous agreements, whether written or oral.
Ephyron Communications Inc. reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our Services following the posting of modified Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
